SOTI Altitude Partner Program - Terms of Use
The following terms and conditions of use ("Terms of Use") create an agreement between you and SOTI Inc (SOTI), and its affiliates regarding the use of the SOTI Altitude Partner Program website located at https://partners.soti.net/ and all associated websites linked to www.soti.net, including international SOTI websites ("Site"). This Site is the property of SOTI.
For each instance you browse, access, or use the Site you are acknowledging that you have read, understood, and have agreed to be held accountable to all terms, rules, and conditions contained in the Terms of Use.
SOTI reserves the right to update, revise, add or remove sections of the Terms of Use at any time without prior notice. As user of the Site it is your responsibility from time to time to verify and check for changes and updates to the Terms of Use. By your continued use of the Site following the posting of any changes to the Terms of Use you have agreed, accepted and are bound to the posted changes.
If you do not agree with these Terms of Use either in its entirety or only partially, please do not use the Site.
Collection of Information
SOTI does not collect personal information about you unless specifically and knowingly provided by you. Any collection of information is subject to SOTI’s Privacy Policy.
In addition, SOTI collects other information that is not personal information, including IP addresses, cookies, aggregate user data, Site usage information, and browser type to help diagnose problems with our server, manage and improve this website, track usage, and for security and monitoring purposes. This information aids SOTI in improving the design and layout of this website. This non-personal information does not identify you personally.
Privacy
You acknowledge that you have read the SOTI Privacy Policy, the terms of which are part of these Terms of Use by reference. Please use caution and common sense when messaging or forwarding information as internet transmissions are not completely private or secure and may be read or intercepted by others even though methods to protect your information have been implemented such as encryption for example.

All text, logos, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, artwork and computer code (en masse "Content"), including but not limited to the design, structure, selection, coordination, expression, and arrangement of such Content, contained on the Site is owned, controlled or licensed by or to SOTI, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.
Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way to any other computer, server, website or other medium for publication or distribution or for any commercial enterprise, without SOTI's express prior written consent.
You may use information on SOTI's products and services (such as data sheets, knowledge base articles, and similar materials) purposely made available by SOTI for downloading from the Site, provided that you (i) do not remove any proprietary notice language in all copies of such documents, (ii) make no modifications to any such information unless consent has been provided by SOTI, or content has been marked as co-brandable, and (iv) not make any additional representations or warranties relating to such documents.

SOTI's Sites may contain information and links to third party websites of which are not under the control of SOTI. SOTI is not responsible for or endorse the Content of such third party information and linked sites. The third party information and links are provided to you as a convenience and as such should be used at your own discretion and risk.
Purchases
By making any purchase from SOTI through the Site, you agree to adhere to and to be bound by the Terms of Use, SOTI's End-User License Agreement as well as any other additional terms and conditions associated with the product, service and payment for the product purchased. Should a conflict exist between these Terms of Use and the terms posted for or relevant to a specific portion of the Site or for any service or product offered on or through the Site, the latter terms shall govern with respect to your use of that portion of the Site or the specific service or product.
Prices
Prices and discounts provided for by SOTI through the Site, on printed materials and other possible means are exclusive of applicable taxes and administrative charges. Prices and discounts are subject to change at any time.
Delivery & Use
All of information related to SOTI's products and services, including but not limited to sales resources, product information, newsletters, photos and video, (“Information”) are downloadable directly off the Site on an "as is" and "as available" basis. Your ability to access and download Information will vary and is dependent upon the speed of your Internet service and the terms and conditions you had agreed to with your Internet service provider. Should you choose to access this site from a location other than Canada you do so on your own initiative and you are responsible for compliance with all applicable local use controls, laws and regulations, including those relating to the transmission of technical data exported from or imported to Canada or the country in which you reside. You may not use this Site and/or any SOTI Information in whichever manner that could damage, disable, overburden, or impair this Site and/or any SOTI products or services [or the network(s) connected to such Site, product, or services] or interfere with any other party's use and enjoyment of this Site and/or SOTI product or services. You may not attempt to gain unauthorized access to this Site and/or any SOTI product, service, other accounts, computer systems or networks connected to this Site, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available to you through this Site.
Registered User Responsibility
You agree to provide information about yourself that is true, accurate, current and complete, and to keep such information true, accurate, current and complete. If you are a registered user, it is your responsibility to maintain the confidentiality of any passwords given to you and to report to SOTI immediately if the password is lost or stolen; there is any change in authorization or access for use of the password; or if your registered authorizations are revoked. User IDs and passwords are provided to you personally, and you agree that you will not give your password to any other party. You are fully responsible for all activities that occur under your password or account. Except as otherwise expressly provided under these terms and conditions, you shall have no right to, and you specifically agree not to (a) attempt to transfer, assign or sublicense any license rights you receive under these terms and conditions to any other person; (b) make error corrections to or otherwise modify or adapt the site or create derivative works based upon site, or to permit third parties to do the same; or (c) decompile, decrypt, reverse engineer, disassemble or otherwise reduce any portion of the site to human-readable form to gain access to trade secrets or confidential information in the site. All information, software, materials, products, services and Content provided for on this Site is subject to change and may change without prior notice, and as such SOTI shall not be liable for any loss or damage caused by your reliance on information provided on this Site. Indemnification
You agree to defend, indemnify and hold harmless SOTI including its staff, officers, directors, partners and controlling persons from and against any liability, loss, expenses, attorney fees, and claims made against SOTI by all third party claims, arising out of or relating to the use or misuse of the Site.

In accessing this Site neither you nor anyone acting on your behalf acquire any intellectual property or other proprietary rights, including patents, designs, trademarks, copyright or trade-secrets, relating to the Contents of this site, including but not limited to, software and information, except as otherwise expressly specified in an appropriate license or other mutually agreed upon, written agreement that you may have with SOTI. Any grants not expressly granted herein are reserved.
Feedback
You may provide SOTI with feedback and suggestions through this site. By doing so, you are waiving any and all rights that you may have in the idea or suggestion, and SOTI shall be entitled to use the idea or suggestion as it so desires, as provided or as modified by SOTI, without any obligation to compensate you or others for the materials. You warrant that all "moral rights" in such materials have been waived. You grant a non-exclusive, perpetual, irrevocable, and royalty-free license to any intellectual property rights you may have in your feedback and suggestions to SOTI to use to improve this site or any SOTI products or services. You acknowledge that submission of feedback and suggestions is voluntarily and SOTI may consider or is developing technology that is the same or similar to your feedback or suggestions
Confidentiality
Particular content available on this website shall be marked as confidential “Confidential Information”. You agree to hold any Confidential Information you obtain as a result of using this site in confidence and, unless required by law, not to make the Confidential Information available to any third party or to use the Confidential Information for any purpose other than the business activities for which you were given access to the Confidential Information. Violation of Terms of Use and Termination
Where it is reasonable and within SOTI's sole discretion, SOTI will advise you of any inappropriate behaviour on your part and any necessary corrective action that should be taken. However, if this Site or any SOTI product or services are used in a way in which SOTI, in its sole discretion, believes to violate these Terms of Use, SOTI or its representing agent may take any responsible actions deemed appropriate. Such action may include, but is not limited to, temporary or permanent removal of Content, filtering of Internet transmissions and the immediate suspension or termination of all or any portion of services (including email services). SOTI shall not be liable in any way for any such responsive actions. The above-described actions are not SOTI's exclusive remedies and SOTI may take any other legal, equitable or technical action it considers appropriate.
SOTI retains the right to investigate suspected violations of these Terms of Use. By accessing this Site you agree to authorize SOTI to cooperate with law enforcement authorities in the investigation of suspected criminal violations and system administrators at Internet service providers, networks or computing facilities in order to enforce these Terms of Use. Such cooperation may include SOTI providing the username, IP address, or other identifying information about you. Upon termination of any account you may have with SOTI, you authorize SOTI to delete any files, programs, data, and email messages associated with such account.
Notwithstanding the preceding, SOTI reserves the right, in its sole discretion, to terminate your access to this Site and SOTI products and/or services or any portion thereof, for any reason without notice.

Applicable Law
This Site is owned and controlled by SOTI Inc. By accessing this Site, you agree that this agreement is governed by the statutes and laws of the Province of Ontario and the Canadian Federal statutes and laws applicable in Ontario, without regard to its conflicts of law provisions, and agree to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada and waive any objection to such jurisdiction or venue.
